Costs

We have a simple fee structure for our services. We charge the following for the various entities:

LLC Formation and Documentation

Single Member LLC — $300.00 plus filing fee of $100.00
Multi-Member LLC — $375.00 plus filing fee of $100.00
Professional LLC — $425.00 plus filing fee of $100.00

For each entity, you get:

  • Articles of Organization
  • Certificate of Organization
  • Operating Agreement
  • Receipt for filing fees
  • Employer Identification Number (EIN) (Optional for no additional cost)
  • Registered Agent services for 1 year
  • Business License information

You may also purchase:

  • An LLC Kit
  • Membership Certificates

NOTE: The owners of a LLC are called members. You should not choose the Single Member LLC if you have or plan to have other members in the LLC. The operating agreement for a Single Member LLC is not appropriate for a Multi-Member LLC. We will upgrade the operating agreement of a Single Member LLC to that of a Multi-Member LLC at a later date for a fee of $200.00.

Corporation Formation and Documentation

S Corporation — $375.00 plus filing fee of at least $75.00*
C Corporation — $375.00 plus filing fee of at least $75.00*
Professional Corporation — $425.00 plus filing fee of at least $75.00*

For each entity, you get:

  • Certificate of Incorporation
  • Organizational Meeting Minutes
  • Bylaws
  • Receipt for filing fees
  • Employer Identification Number (EIN) (Optional for no additional cost)
  • Registered Agent services for 1 year
  • Business License information
  • IRS Form 2553 for S Corporation Election

Annual Virginia SCC Registration Fees

For stock corporations, the annual registration fee is based on the number of shares the corporation is authorized to issue according to the records of the Commission as of the first day of the second month preceding the month in which it was incorporated or registered to transact business in Virginia. A copy of the current schedule of fees for corporations is provided below . For limited liability companies, the annual registration fee is currently $50. It is assessed as of the first day of the second month preceding the month in which the company was formed or registered to transact business in Virginia. If the assessment fees for either entity are not paid in a timely manner, the Virginia State Corporation Commission will assess a penalty. All assessment fees are subject to change.

Annual Registered Agent Fees

Virginia Lawyer Formed Businesses will serve, at no charge, as the registered agent for your entity during the first year after formation. Thereafter, we will serve as registered agent for an annual fee, currently $150.00 per year, for which we will invoice you at the same time the VA SCC assesses its annual fees. If you wish to make other arrangements, we will resign as your registered agent at no cost, but you will need to supply a replacement to the VA SCC to remain in existence.

What We Don’t Provide

We do not provide tax advice of any kind. Often, business owners choose the type of entity they want based upon the tax treatment of the entity. You must realize that we could not provide our services for the amount we charge, if we also had to do a tax analysis of your situation. Furthermore, you situation could change in the future and the best person to keep your business in a tax-advantaged position is your tax advisor. You must consult your tax advisor for any such information.

As a part of our service, we do provide legal advice regarding the corporate documents we draft and file on your company’s behalf. We also will change those documents at your request. However, we do not provide any other legal advice as a part of your service. We are experienced business attorneys and you can engage us to provide additional legal advice on any business matter, but you must do so by a separate engagement agreement. Our hourly rate for such additional services is $275.00.
