This privacy policy (the “Privacy Policy”) of Virginia Formed Business (“we”, “us”, “our”) applies to the collection, use and disclosure of information that we may collect during the course of providing limited legal services to you through our website (the “Site”).

You acknowledge that we are providing limited legal services to you (the “Services”).  As a result, we have an ethical duty to protect confidential information you give us, as set forth in Rule 1.6 of the Virginia Rules of Professional Conduct of the Virginia State Bar.   We will take reasonable measures to protect the confidentiality of information you provide to us.  However, you also recognize that reasonable measures may not completely prevent an unauthorized disclosure of this confidential information.  Thus, you agree that reasonable measures to protect confidential information shall be sufficient and waive any requirement that we use greater than reasonable measures.  Data transmission over the Internet or any wireless network cannot be guaranteed to be 100% secure.  As a result, while we use reasonable measures to protect confidential information you give us, you agree that there are security and privacy limitations of the internet that are beyond our control.  We cannot guarantee the security, integrity and privacy of any and all information and data exchanged between you and us or between us and governmental agencies and third party vendors with whom we must communicate to perform our Services for you.  You understand that any such information and data may be viewed or tampered with in transit by a third party even when we take reasonable precautions.  We may also provide some of our Services through the use of, and communications with, governmental agencies and third party providers over whom we do not exercise control. Given the limited nature of our representation, you acknowledge that we would not be able to provide the Services to you, without a limitation on our liability for unauthorized access and disclosure of confidential information you give us.  Accordingly, WE SHALL NOT BE LIABLE TO YOU, OR TO ANY INDIVIDUAL OR LEGAL ENTITY ABOUT WHOM YOU FURNISH INFORMATION TO US, FOR CLAIMS OF ANY KIND REGARDING THE DISCLOSURE, OR ACCESS TO,  CONFIDENTIAL INFORMATION YOU PROVIDE TO US, SO LONG AS WE TAKE REASONABLE MEASURES TO GUARD ITS CONFIDENTIALITY.  If you, or the individuals or legal entities about whom you are furnishing us with information, do not agree to these terms, please do not access or use this site or attempt to create a lawyer/client relationship with us.  No attorney/client relationship shall be created between you and us without agreement to the terms of this Privacy Policy.

We reserve the right to change this Privacy Policy at any time without notice to you.  We will not make any changes that limit our ethical duties to our clients.  Any changes, modifications, additions or deletions shall be effective immediately, but shall only apply prospectively.  You agree that it is your responsibility to review this Site and this Privacy Policy periodically to be aware of any modifications.  Your continued use of the site after such modifications will constitute your agreement with the modified Privacy Policy, and agreement to abide and be bound by the modified Privacy Policy.


We collect all of the information that is necessary, in our sole discretion, to perform the limited legal services offered through our Site.  Some of the information, such as name address and phone numbers, are readily available from public sources.  Other information, such as the name and nature of a business, may not be available from public sources in connection with the readily available information.  We will take the same reasonable measures to safeguard the publicly available information as we take to safeguard non-public information.  We may also gather, for our internal uses only, information that is generated during and after your use of the Site.   That may include the your Uniform Resource Locator (“URL”), a history of where the you came from before using our Site and where you go afterwards, the browser you used and your Internet Protocol (“IP”) address.  The term URL refers to a global address of documents and other resources on the World Wide Web (the “Web”).  The term IP address is an identifier for a computer or device on a Transmission Control Protocol/Internet Protocol (“TCP/IP”) network, such as the Web.  Networks like the Web use the TCP/IP protocol to route information based on the IP address of the destination.  An IP address is a number that is automatically assigned to your computer whenever you are surfing the web.


By engaging us and using our limited legal services, you agree to provide all the information needed, in our sole discretion, for us to provide our limited legal services.   If you do not provide all the information required by us, you agree that we may discontinue our engagement and you shall be solely responsible for said disengagement.

We will primarily use information you give us to provide our services to you, as stated in our Terms of Engagement with you.  You will have the opportunity to see the Terms of Engagement prior to purchasing any services through this Site. You must agree to these Terms of Engagement before we can provide any services to you. We will use information you give us for internal purposes, such as, without limitation, to enhance the operation of our Site, fill orders, improve our marketing and promotional efforts.  We will also use such information to deliver information to you and to contact you regarding administrative notices.  We may also use the information you provide us, consistent with our ethical obligations, to resolve disputes, troubleshoot problems and enforce our agreements with you, including our Terms of Engagement, Terms of Use, and this Privacy Policy.


We will not sell, trade, or rent information you give us to others in any way, except with your express permission.  By using our Site and Services you represent and warrant to us that the information you give us about other individuals and legal entities has been has been authorized by such other individuals and legal entities under the terms of this Privacy Policy.

We may disclose information you give us pursuant to an order of a court of competent jurisdiction; provided, however, that, to the extent not prohibited by law, we will inform you of the request so that you may obtain a protective order, if applicable, at your sole expense.  We reserve the right to report to law enforcement agencies any activities that we, in good faith, believe to be unlawful and consistent with our ethical obligations.

The information you provide to us needs to be accurate, complete, and up to date for the purposes for which it is intended to be used.  You are solely responsible for the accuracy of any information you provide to us.   WE DISCLAIM ANY AND ALL LIABILITY ARISING FROM OR RELATED TO INACCURATE INFORMATION ENTERED OR PROVIDED BY YOU.


When you use our site we may store cookies on your computer in order to facilitate and customize your use of our Site. This Privacy Policy only addresses the use and disclosure of information we collect from you.   Other sites accessible through our Site, to the extent that they exist, have their own privacy policies and data collection, use and disclosure practice.   We are not responsible for the accuracy of information located on third party sites nor for the policies or practices of those sites.  Additionally, other companies may be permitted to place advertisements on our Site that may collect information about you when you view or click on their advertising.  We cannot control this collection of information.  You must contact the advertisers directly if you have any questions about their use of the information they collect.


Our primary vehicle for contacting you is by email.  You agree that we shall have the right to send email to you in order to render the Services requested by you or to advise you of any notifications or official notices.  By using the Site, you also consent to receive emails from us that may include announcements, promotional materials, and your account–related notifications, which are necessary to make use of the Site or any Services.
